Vita Capital — Escrow Services Profile

Vita Capital is our escrow partner as well as our FX partner. Its escrow service holds your money in regulated escrow accounts until the other side delivers — for property, business, trade and online deals. Here's how it works.

What works
in Thailand
Independent,
unbiased guide

Most of the money our readers move to Thailand is paid before they receive what they're paying for: an off-plan condo instalment, a deposit on a bar, a first order from a new supplier, the price of a website bought from a stranger. In each case, the safest way to pay is to have a neutral party hold the money until the other side delivers. That's escrow.

Vita Capital, our FX partner, also offers escrow. Funds are held in regulated escrow accounts until the agreed release conditions are fulfilled, across four kinds of deal: real estate, business sales, trade and online. Because Vita Capital also handles currency exchange, the escrow and the conversion can be planned together by the same specialist.

This profile explains how Vita Capital's escrow works, what it covers, how it fits alongside Thailand's own escrow law, what it costs, who it suits and how to arrange it through our team. For the companion profile on currency, see Vita Capital — FX and Payments Profile.

Vita Capital's escrow follows four steps: buyer and seller agree the terms, the buyer deposits funds into a secure escrow account, the seller delivers the goods, services or documents, and once the terms are confirmed the funds are released. Money is held in regulated escrow accounts until release conditions are fulfilled. It covers property, business sales and acquisitions, trade between buyers and suppliers, and digital services, intellectual property and online sales. Our readers arrange it through our team.

How Vita Capital escrow works

  1. Agreement. Buyer and seller agree the transaction terms and the conditions for release.
  2. Introduction. You ask through our team; we introduce you to Vita Capital with the details of your deal.
  3. Deposit. The buyer deposits funds into the secure escrow account.
  4. Delivery. The seller delivers — the property, the business, the goods or the digital asset.
  5. Verification. The agreed conditions are confirmed with the evidence set out in the agreement.
  6. Release. Once the terms are confirmed, the funds are released to the seller.

Why escrow and currency belong together

Almost every deal our readers protect with escrow also involves changing currency: pounds into baht for a condo, baht or dollars for a supplier, foreign currency back to the UK when a business is sold. When escrow and currency are handled by different firms, you get two sets of fees, two sets of checks and a gap in the middle where timing can slip — the money is converted on one day and released on another, at whatever the rate happens to be.

With one specialist doing both, the conversion is planned around the release dates. A forward contract can fix the rate for each release, so you know exactly what every stage costs in pounds, and the escrow ensures none of it is paid before the other side delivers. That combination — certainty on the price and protection on the payment — is the main reason we recommend Vita Capital for the larger deals our readers make.

Escrow for Thai property

Property is where most of our readers will use escrow, and where it matters most for off-plan purchases. With Vita Capital, the currency conversion, the forward contract that fixes your price, and the escrow that protects each instalment can all be planned with one specialist.

  • Off-plan instalments held until each construction stage is certified.
  • Resale deposits held until the unit is registered in your name.
  • The currency fixed for completion with a forward contract.
  • The FET paperwork planned with your lawyer, so the money still arrives as foreign currency from you.

Thailand also has its own Escrow Act, under which licensed agents hold funds for Thai property deals. Ask Vita Capital's specialist, alongside your Thai lawyer, how escrow will be structured for your purchase so it fits both the Land Office's requirements and your protection. See escrow for Thailand property transactions.

Escrow for businesses and trade

Escrow for online and digital deals

Vita Capital's online and digital escrow secures payments for digital services, intellectual property and online sales. For expats in Thailand that covers buying or selling a website or online business, a premium domain, software or content, and freelance or agency projects paid by milestone. The money is held while the asset is handed over and checked, then released.

Fake escrow sites are a common scam, so always start through our enquiry form rather than a link from the other party. See online and digital escrow explained.

Release conditions

Vita Capital releases funds once the agreed terms are confirmed. That makes the release conditions — written into the escrow agreement — the most important part of the deal. Make each one a specific event a document can prove:

  • Property: the unit registered in your name; an engineer's certificate for each stage.
  • Business: the lease assigned, licences transferred and shares registered.
  • Trade: shipping documents and an inspection report received.
  • Online: the asset transferred and the inspection period passed.

See escrow fees, release conditions and disputes for how to write them.

If there's a disagreement

If the buyer and seller disagree about whether a condition has been met, the money stays in escrow while it's resolved. That's the protection: neither side can take it without the agreed evidence. How a disagreement is settled — joint instructions, an independent expert, mediation or another process — should be written into the escrow agreement at the start. Ask your Vita Capital specialist how disputes are handled for your type of deal, and make sure your lawyer is happy with the process before you sign.

What to have ready

  • The sale or supply agreement, or the agreed terms.
  • Details of the other party — name, company and contact.
  • Your passport and proof of address.
  • Source-of-funds evidence for the money going into escrow.
  • The release conditions you want, and the evidence for each.
  • Key dates — milestones, completion and any long-stop date.
  • Your lawyer's details, so they can review the agreement.
  • The currency the deal is priced in, and the one you'll pay from.

Fees

Vita Capital doesn't publish escrow fees; it quotes for each deal, depending on its size, complexity and the number of releases. Ask for the fee in writing alongside the exchange rate, and agree in your sale contract who pays it — buyer, seller or half each. Set against the money it protects on an off-plan purchase or a business deal, escrow is usually one of the cheapest protections available.

Partner network

Escrow rarely stands alone. Vita Capital's escrow solutions connect to a network of legal, wealth, corporate and real estate partners, and its wider partner network covers legal and compliance support, wealth management, company formation and real estate advisory. For a property purchase or business acquisition, that can make it easier to line up the professionals you need around the escrow — though we always recommend your own independent Thai lawyer.
